16. Governing Law; Dispute Resolution
You agree that all matters relating to your access to or use of the Website, including all disputes, will be governed by the laws of the United States and by the laws of the State of California without regard to its conflicts of laws provisions. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party will be entitled to costs and attorneys’ fees.
In the event of any controversy or dispute between Axia Estimate, US Power Solar, and you arising out of or in connection with your use of the Website, the parties will attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit the matter to confidential, final, and binding arbitration before a single arbitrator in Los Angeles, California, administered by the American Arbitration Association pursuant to its Commercial Arbitration Rules with one arbitrator. You and Axia Estimate/US Power Solar shall equally share the arbitration costs, and each party shall be responsible for its own attorney’s fees. The arbitrator shall apply California law to the merits of any dispute or claim, excluding those laws that direct the application of the laws of another jurisdiction. You hereby consent to the personal jurisdiction of the state and federal courts located in Los Angeles, California for any action or proceeding arising from or relating to these Terms of Use or relating to any arbitration in which the parties are participants.
17. Miscellaneous
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Axia Estimate or US Power Solar as a result of this agreement or use of the Website. These Terms of Use constitute the entire agreement between you and Axia Estimate with regard to your use of the Website, and any and all other written or oral agreements or understandings previously existing between you and Axia Estimate or US Power Solar with respect to such use are hereby superseded and cancelled.
Axia Estimate’s failure to insist on or enforce strict performance of these Terms of Use will not be construed as a waiver by Axia Estimate of any provision or any right it has to enforce these Terms of Use. Axia Estimate and US Power Solar may assign, transfer, or sub-contract any of our rights or obligations under these Terms of Use to any third party at our discretion.
